Organizational Operating Structure

St. John Ambulance was incorporated in 1994 under the legal name The Priory of Canada of the Most Venerable Order of the Hospital of St. John of Jerusalem. The Priory council of St. John Ambulance sets the governance framework for a federated structure. Each Council (provincial/territorial* head office) of St. John Ambulance is incorporated as a not-for-profit organization within their jurisdictions. Each Council is governed by a board of directors and a membership comprised of their respective constituents. Within each Council, there are branches responsible for carrying out the work of St. John Ambulance. Each branch is a subordinate unincorporated body and is constituted based upon the needs of their community.

* St. John Council for Federal District oversees the National Capital Region.

The Priory of Canada is one of eight (8) Priories within the worldwide Order of St. John.

    St. John Ambulance recently completed a governance restructuring process resulting in new bylaws and governance regulations. As part of the ongoing governance strategy, the board of directors (also known as Priory Council) will be completing this process with the development of Means and Ends policies (per the Carver Policy Governance Model).

    In addition to the nationally incorporated Priory of Canada Council for St. John Ambulance, each Council is separately incorporated, and each Council has its own respective bylaws and governing documentation linking them to the Priory of Canada.

    Roles & Responsibilities of the Organization
    The roles and responsibilities of the Priory Council of Canada, National Office of St. John Ambulance and Provincial Councils are defined within the Memorandum of Understanding (MOU). Under this MOU an alliance under the national structure of St. John Ambulance is established with the respective Councils.

    Within this context, the Priory of Canada and Priory Council are responsible for the governance of the Priory, the mission and vision and national policy of the Priory, and international relations including the future direction of the Priory. The National Office of St. John Ambulance is the corporate arm of the Priory of Canada and provides support services to the Priory Council and Provincial Councils. Services include but are not limited to items such as the research, development and production, of first aid and community service programs and products national guidelines regarding information technology and national database systems, and marketing and communication strategies designed to meet corporate and charitable objectives, both nationally and internationally.
